  • Security consulting and training

3. User Accounts and Registration

To access certain features of our services, you must register for an account. You agree to:

  • Maintain and update your account information
  • Keep your login credentials secure and confidential
  • Notify us immediately of any unauthorized use
  • Accept responsibility for all activities under your account

4. Payment Terms

Payment processing is handled by Stripe, Inc. By making a payment, you agree to Stripe's terms of service and privacy policy. Payment terms include:

  • All fees are due in advance unless otherwise specified
  • Payments are processed securely through Stripe
  • Subscription fees are billed automatically
  • Price changes will be communicated 30 days in advance
  • Refunds are subject to our Refund Policy

5. Acceptable Use Policy

You agree not to use our services for any unlawful or prohibited activities, including:

  • Violating any applicable laws or regulations
  • Infringing on intellectual property rights
  • Transmitting malicious code or conducting cyber attacks
  • Attempting to gain unauthorized access to systems
  • Interfering with or disrupting our services
  • Using our services to harm others or their systems

6. Service Level Agreement (SLA)

We strive to maintain high service availability and performance:

  • Response times based on severity levels
  • Regular maintenance windows with advance notice
  • Service credits for SLA breaches

7. Data Protection and Privacy

  • Reverse engineer or attempt to extract source code
  • Use our trademarks without written permission

9. Limitation of Liability

To the maximum extent permitted by law, ULTIMATE shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business interruption.

Our total liability for any claims arising from or related to our services shall not exceed the amount paid by you for the services in the twelve months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless ULTIMATE from any claims, damages, losses, or expenses arising from your use of our services, violation of these terms, or infringement of any third-party rights.

11. Termination

Either party may terminate this agreement at any time:

  • You may cancel your subscription at any time
  • We may suspend or terminate accounts for violations
  • Termination does not relieve payment obligations
  • Data retention policies apply after termination
  • Certain provisions survive termination

12. Force Majeure

We shall not be liable for any failure to perform due to circumstances beyond our reasonable control, including natural disasters, government actions, cyber attacks, or other force majeure events.

13. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the courts of San Francisco County, California.

14. Changes to Terms

We reserve the right to modify these terms at any time. Material changes will be communicated via email or through our service. Continued use of our services after changes constitutes acceptance of the new terms.
